WaSpider is owned and operated by QUINPIN LLP, located in Bareilly, Uttar Pradesh, India.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use WaSpider.

1. Definitions

  • “Company”, “We”, “Us”, “Our” refers to WaSpider, owned by QUINPIN LLP
  • “User”, “You” refers to any individual or business using the Service
  • “Platform” refers to the WaSpider SaaS application
  • “Third-Party Services” refers to services such as Meta Platforms, WhatsApp Cloud API, hosting providers, etc.

2. Eligibility

You must:

  • Be at least 18 years old
  • Have the authority to bind a business (if registering on behalf of a company)

By using WaSpider, you confirm that you meet these requirements.

3. Description of Service

WaSpider is a SaaS platform that enables businesses to:

  • Onboard and integrate WhatsApp Cloud API
  • Connect and manage WhatsApp Business Accounts
  • Send and receive WhatsApp messages
  • Manage messaging-related workflows

WaSpider does not provide telecommunications services and does not act as a messaging carrier.

4. User Accounts

  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activities performed under your account
  • You must provide accurate and up-to-date information

We reserve the right to suspend or terminate accounts that violate these Terms.

5. WhatsApp & Third-Party Services

By using WaSpider:

  • You authorize us to interact with Meta Platforms and WhatsApp Cloud API on your behalf
  • You agree to comply with:
    • WhatsApp Business Messaging Policies
    • Meta Platform Policies
    • All applicable local and international laws

WaSpider is not responsible for actions taken by Meta or WhatsApp, including account suspension, message restrictions, or pricing changes.

6. Acceptable Use Policy

You agree not to use WaSpider for:

  • Spam, fraud, or deceptive messaging
  • Sending unsolicited bulk messages
  • Harassment, abuse, or illegal activities
  • Violating WhatsApp, Meta, or local regulations

Any misuse may result in immediate suspension or termination.

7. Fees & Payments

  • Some features may be offered on a paid basis
  • Pricing, billing cycles, and payment terms will be clearly communicated on the Platform
  • Fees are non-refundable unless explicitly stated otherwise

We reserve the right to change pricing with prior notice.

8. Data & Privacy

Your use of WaSpider is also governed by our Privacy Policy:

  • You own or have rights to the data you process through WaSpider

9. Intellectual Property

All intellectual property related to WaSpider, including:

You may not copy, modify, distribute, or reverse-engineer any part of the Service without written permission.

10. Service Availability

We strive to maintain high availability, but:

  • The Service is provided on an “as-is” and “as-available” basis
  • We do not guarantee uninterrupted or error-free operation

Maintenance, updates, or outages may occur without prior notice.

11. Limitation of Liability

To the maximum extent permitted by law:

  • WaSpider shall not be liable for indirect, incidental, or consequential damages
  • We are not liable for loss of data, revenue, or business opportunities
  • Our total liability shall not exceed the amount paid by you to WaSpider in the last 3 months

12. Indemnification

You agree to indemnify and hold harmless WaSpider and QUINPIN LLP from any claims arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights or laws

13. Suspension & Termination

We may suspend or terminate your access if:

  • You violate these Terms
  • Required by law or third-party providers
  • Your use poses a risk to the Platform or other users

Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.

15. Changes to Terms

We may update these Terms from time to time.
